End-User Licence Agreement (EULA)

IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE INSTALLING OR USING FRETREP. BY INSTALLING OR USING THE APPLICATION, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE APPLICATION.

 

1. Parties

This End-User Licence Agreement ("Agreement") is between you ("User") and FretRep ("Licensor"), a sole proprietorship based at Adipur, Gujarat, India, India.

2. Grant of Licence

FretRep grants you a limited, personal, non-exclusive, non-transferable, revocable licence to install and use the FretRep desktop application on your personal computers for personal non-commercial guitar practice purposes.

This licence does not include the right to:

  • Copy, modify, or create derivative works of the Application
  • Distribute, sell, transfer, sublicense, rent, or lend the Application
  • Reverse-engineer, decompile, or disassemble the Application
  • Remove or alter any proprietary notices within the Application
  • Use the Application for commercial purposes

3. Free and Pro Tiers

Free Tier: Available at no cost with limited features. The Free tier is available forever at no charge.

Pro Tier: Full features upon payment of a subscription fee with an active licence key.

4. Ownership and Intellectual Property

The Application, including all code, graphics, UI, and App Library exercises, remains the exclusive property of FretRep protected by Indian and international intellectual property laws. This Agreement grants a licence to use, not ownership.

Your personal practice data — exercises you create, custom content, session records — remains your own property.

5. App Library Content

App Library exercises are the intellectual property of FretRep. You may use them for personal practice only. You may not extract, copy, redistribute, or publish App Library exercises in any form.

6. Updates and Upgrades

FretRep may provide updates or new versions from time to time. This Agreement applies to all updates. FretRep is not obligated to provide any updates.

7. Data and Privacy

Use of the Application is subject to our Privacy Policy at https://fretrep.com/privacy-policy. By using the Application, you consent to local storage of practice data, cloud sync for Pro users, and transmission of account credentials for licence validation.

8. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. FRETREP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FRETREP DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FRETREP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. FRETREP'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

This Agreement terminates automatically if you breach any term. Upon termination, you must cease all use and delete all copies. Sections 4, 8, 9, 11, and 12 survive termination.

11. Governing Law

This Agreement is governed by the laws of India and subject to the exclusive jurisdiction of the courts of Gujarat, India.

12. Entire Agreement

This Agreement together with our Terms of Service, Privacy Policy, and Refund Policy constitutes the entire agreement between you and FretRep regarding the Application.
